1. Acceptance of These Terms

These Terms & Conditions ("Terms") govern your use of the website at https://ascendantgroups.com, the Digital Briefcase portal, our forms and landing pages, and our email and text message communications (together, the "Services"), operated by Ascendant Groups ("Ascendant Groups," "we," "us," or "our").

By accessing the Services, submitting a form, or communicating with us by email or text message, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Services.

You must be at least 18 years old to use the Services.

2. Description of Services

Ascendant Groups is an insurance and financial services organization. We:

- Recruit, onboard, train, and support licensed insurance agents

- Provide agents with training materials, carrier resources, scripts, meeting access, and ongoing coaching through the Digital Briefcase portal

- Connect consumers with life insurance, annuity, and related financial products offered by independent third-party insurance carriers

- Communicate with agents, applicants, and clients by phone, email, and text message

Ascendant Groups is not an insurance carrier. We do not underwrite, issue, or guarantee any insurance policy. All policies are issued by the applicable licensed carrier and are subject to that carrier's terms, underwriting standards, and approval.

3. SMS / Text Messaging Terms

Program description. Ascendant Groups operates a text messaging program for agents, applicants, and clients who have opted in to receive messages from us.

Consent. By providing your mobile phone number to Ascendant Groups — through a form on our website, a written or verbal request, or by texting us first — you agree to receive text messages from us at that number. Consent is not a condition of any purchase, application, appointment, or employment. Only the person who owns the mobile number may provide consent.

Types of messages. Appointment and meeting reminders, Zoom and training links, onboarding and licensing status updates, account and support replies, event and announcement notices, and recruiting or promotional messages where you have opted in to receive them.

Message frequency. Message frequency varies. You can generally expect up to 2–6 messages per month. Replies to your own messages are not limited.

Message and data rates. Message and data rates may apply. These charges come from your mobile carrier, not from Ascendant Groups. Check your plan for details.

Opt out. Reply STOP to any message to cancel. You will receive one confirmation message and no further texts unless you opt in again. You may also opt out by emailing or calling us using the details in Section 11.

Help. Reply HELP to any message for assistance, or contact us using the details in Section 11.

Carrier liability. Carriers are not liable for delayed or undelivered messages. Message delivery depends on your carrier and is not guaranteed.

Supported carriers. Our program is supported on major U.S. carriers, including AT&T, Verizon, T-Mobile, Sprint, U.S. Cellular, Boost, MetroPCS, Cricket, and Google Voice, among others.

Privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing with subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. See our Privacy Policy for full details.

Changing your number. If you change or give up your mobile number, notify us so we do not message someone who has not consented.

4. Eligibility and Portal Access

Access to the Digital Briefcase portal, training resources, carrier portals, and team meetings is provided to agents affiliated with Ascendant Groups and is granted at our discretion.

If you receive login credentials or access links, you agree to:

- Keep your credentials confidential and not share them with anyone outside your authorized use

- Notify us promptly of any unauthorized access

- Use the portal only for legitimate business purposes connected to your work with Ascendant Groups

We may suspend or terminate access at any time, with or without notice, including when an affiliation ends or when these Terms are violated. Access to third-party carrier portals is governed by each carrier's own terms and credentials.

5. Acceptable Use

When using the Services, you agree not to:

- Submit false, misleading, or someone else's personal information, including a mobile number you do not own

- Use the Services for unlawful, fraudulent, or deceptive purposes

- Send unsolicited messages, spam, or content that is harassing, obscene, hateful, or threatening

- Misrepresent your licensing status, appointments, or authority to sell insurance products

- Copy, scrape, reverse engineer, or attempt to gain unauthorized access to any part of the Services

I- nterfere with the operation or security of the website, portal, or messaging systems

- Use our name, logo, or materials in advertising without written permission

We may remove content, restrict access, or terminate use for any violation.

6. Insurance and Income Disclaimers

Not an offer of insurance. Content on this website is for general informational purposes and is not an offer, solicitation, or binding of coverage. No policy is in force until the issuing carrier approves the application and issues the policy.

Carrier terms govern. Product availability, rates, features, and eligibility are set by each carrier and vary by state, age, health, and underwriting. Carrier materials and policy documents control over anything stated here.

Not professional advice. Nothing on the Services is legal, tax, or investment advice. Consult a qualified professional about your own situation.

No income guarantee. Agent compensation is commission-based and depends on individual effort, licensing, market conditions, and carrier payout schedules. Any earnings figures, testimonials, or results shared in trainings or announcements are examples only and are not a promise or guarantee of income. Individual results vary, and many agents earn little or nothing.

Licensing. Agents are responsible for obtaining and maintaining the licenses and carrier appointments required in each state where they conduct business.

7. Intellectual Property

The Ascendant Groups name, logo, website design, training presentations, scripts, recordings, and written materials are owned by Ascendant Groups or its licensors and are protected by copyright and trademark law.

Agents may use these materials for their work with Ascendant Groups. You may not sell, publish, redistribute, or repurpose them outside that use without our written permission, and you may not record or share private team sessions without consent.

Carrier logos and materials belong to the respective carriers and are used with their permission or under their marketing guidelines.

8. Third-Party Links and Platforms

Our Services link to carrier websites, Zoom meetings, Telegram groups, scheduling tools, and other outside platforms. We do not control those services and are not responsible for their content, availability, terms, or privacy practices.

Your use of any third-party platform is governed by that provider's own terms. Review them before participating or providing information.

9. Warranties, Liability, and Indemnification

As-is. The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that messages will always be delivered.

Limitation of liability. To the fullest extent permitted by law, Ascendant Groups and its owners, officers, and staff are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost commissions, or lost data, arising from your use of the Services. Our total liability for any claim is limited to the amount you paid us, if any, in the twelve months before the claim.

Indemnification. You agree to indemnify and hold Ascendant Groups harmless from claims, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

Some states do not allow certain limitations, so parts of this section may not apply to you.

10. Governing Law and Changes

Governing law. These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in United States of America, New Jersey, and you consent to that jurisdiction.

Severability. If any provision is found unenforceable, the rest of these Terms remain in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Changes. We may update these Terms at any time. The revised version will be posted on this page with a new effective date, and continued use of the Services means you accept the changes. Material changes to our text messaging program will be communicated to opted-in subscribers before they take effect.
